Terms & Conditions
These Terms govern every quotation, invoice, subscription and Statement of Work issued by AlmightyCS. This page is referenced on all of our invoices and quotations and forms part of your agreement with us — please read it before engaging our services.
This page is provided for general information and does not replace legal advice. Your signed quotation or Statement of Work governs engagement-specific details.
1. Agreement & Acceptance
These Terms & Conditions ("Terms") govern every quotation, invoice, purchase order, subscription or Statement of Work ("Order") issued by Almighty Consulting Solutions Pvt. Ltd. ("AlmightyCS", "we", "us") to a client ("you", "Client"). By accepting a quotation, paying an invoice, or engaging AlmightyCS for services, you accept these Terms in full.
If a signed quotation, Statement of Work, or separate written agreement conflicts with these Terms, that signed document takes precedence for the matters it specifically covers. These Terms fill in everything it does not address, and the client's own standard terms and conditions (if any) do not apply unless expressly agreed to in writing.
We may update these Terms from time to time; the version in force on the date of your Order applies to that Order. The current version is always available at this page.
2. Development & Implementation Services
What's included in a standard Odoo or AlmightyHMS engagement, and what each side is responsible for.
Scope of Work
- Only the modules and features listed in your quotation or SOW are included; anything else is treated as a new request.
- Migrating data from an old/legacy system is not included by default and is quoted separately.
- Third-party software, hardware or machine integrations are excluded unless explicitly specified in the agreement.
Client Responsibilities
- Server hosting and domain registration remain the customer's responsibility unless a hosting plan is separately agreed.
- SMS provider account, credentials and approvals must be supplied by the customer.
- Licensed/paid stock images must be supplied by the customer if a project calls for them.
- One point of contact should be assigned to keep decisions and feedback moving.
Platform & Framework
Development is built on the Odoo framework. Where the framework itself imposes a limitation, we propose the closest practical alternative rather than forking core Odoo — this keeps your instance upgrade-safe.
Content & Design
Website copywriting is scoped and billed separately from development. UI, layout or design changes outside the agreed design are billed at the hourly rate confirmed in your quotation (see Payments & Invoicing below).
3. Mobile App Development
Terms specific to iOS/Android apps built and connected to your Odoo instance.
- Hosting and management of the mobile backend is handled exclusively by the AlmightyCS team.
- Mobile app source code is not shared with the customer.
- Listing on the Apple App Store requires the customer to create and own an Apple Developer account.
- One-time setup, annual hosting, and hourly rates for UI/feature changes are confirmed in your project quotation and may be updated from time to time.
- An annual maintenance fee applies for as long as the app remains live, at the rate and frequency stated in your quotation.
4. AlmightyHMS Licensing & Ownership
How access to AlmightyHMS modules is licensed.
Single-Customer Use
Every AlmightyHMS subscription is licensed to one customer. Reselling or sub-licensing it to a third party requires prior written permission and additional charges.
Ownership Retained
AlmightyHMS, its modules and underlying code remain the property of AlmightyCS. A subscription grants a right to use it, not to own, resell or redistribute it.
Core Module Fixes
Bug fixes for core HMS modules are free of charge for as long as your instance runs a supported (LTS) Odoo version.
5. Intellectual Property
- Pre-existing IP. Frameworks, libraries, boilerplate code, tools and know-how that AlmightyCS owned or licensed before a project remain AlmightyCS's property, whether or not they're used in your deliverables.
- Work product. Once an engagement is paid in full, the client receives a license to use the custom deliverables built specifically for them for their own business operations. Shared, multi-tenant products such as AlmightyHMS remain licensed, not sold — see Section 4 above.
- Open-source & third-party components. Some deliverables include open-source or third-party licensed components — including Odoo Community Edition and, where applicable, Odoo Enterprise Edition — which remain governed by their own licenses. See Section 11 below.
- Branding. The "AlmightyCS" and "AlmightyHMS" names, logos and marks remain our exclusive property and may not be used without permission.
6. Confidentiality & Data Protection
- Both parties agree to keep the other's non-public business, technical and financial information confidential and to use it only to perform the engagement.
- Customer data hosted or processed as part of a project is used solely to deliver the contracted services. It is never sold or shared with unrelated third parties without prior written notice and consent — except where required by law, or with sub-processors (such as hosting providers) bound by equivalent confidentiality obligations.
- On request, customer data is returned or deleted within a reasonable period after the engagement ends, subject to standard backup retention cycles.
- AlmightyCS may reference the client's name, logo and a brief description of the engagement in its portfolio, website and marketing materials to showcase applications developed or services delivered for the client. This does not include any confidential business or technical information covered above. A client may withdraw this permission and request removal of its name/logo from our site at any time by contacting us; we will action the request promptly.
- This confidentiality commitment survives the end of the engagement.
7. Support, Bug-Fixing & New Requests
What's covered after go-live, and how additional work is handled.
Free Bug-Fixing Window
Custom development and customizations include 30 days of free bug-fixing from delivery. Issues reported after this window, or new requirements, are treated as additional work.
Rates for Additional Work
New features, customization requests, and consultation/training sessions are billed at the hourly rates confirmed in your quotation or Statement of Work.
On-Site Visits
On-site visits are billed as a minimum full working day, regardless of actual time spent. Travel, accommodation and related expenses are covered by the customer.
Points of Contact
Each project gets one AlmightyCS project manager. We ask that the customer assign a matching contact to keep decisions moving — delayed replies from that contact extend the delivery timeline accordingly and aren't counted against AlmightyCS.
8. Payments & Invoicing
How billing works, and our refund policy.
Invoicing & Late Payment
Invoices are payable by the due date stated on the invoice or quotation. Overdue amounts may accrue late interest and/or result in suspension of services until payment is received, as permitted by applicable law. Taxes, duties and bank/transfer charges are the client's responsibility in addition to the quoted fees. Rates for development, consultation, training and on-site work are those confirmed in your signed quotation or Statement of Work.
No-Refund Policy
Fees already paid for delivered work, licenses, subscriptions or hosting are final and non-refundable under any circumstances. Please confirm scope and pricing before making a payment.

Verify these details directly with your project manager before sending payment.9. Warranty & Limitation of Liability
We commit to performing services with reasonable skill and care, using qualified personnel, in line with the scope agreed in your quotation or Statement of Work. Beyond what is expressly stated there, services and deliverables are provided "as is," without further warranties, express or implied — our obligation is to make best efforts, not to guarantee a specific result.
AlmightyCS's total liability arising from an engagement — whether in contract, tort or otherwise — is capped at the total fees paid by the client for that specific engagement in the 12 months preceding the claim. Neither party is liable to the other for indirect, incidental or consequential damages, including lost profits, revenue or data, to the extent permitted by law.
Any claim must be notified to AlmightyCS in writing within a reasonable time of the client becoming aware of it. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Term & Termination
- These Terms remain in effect for as long as you have an active Order, subscription or engagement with us.
- Either party may terminate an engagement for a material breach that remains uncured after written notice and a reasonable cure period, or terminate for convenience with reasonable written notice — unless your signed quotation or Statement of Work states otherwise.
- On termination, the client pays for all work performed and expenses incurred up to the termination date; fees already paid remain non-refundable (see Section 8).
- The license to use fully-paid deliverables survives termination; AlmightyHMS subscription access ends with the subscription unless separately agreed.
- Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, war, internet or utility outages, or government action.
11. Third-Party Software
Some AlmightyCS deliverables run on, or are bundled with, Odoo — the ERP platform published by Odoo S.A. Odoo Community Edition is open-source (LGPL-3). Where a project uses Odoo Enterprise Edition (EE), that software is licensed to you directly by Odoo S.A. under Odoo's own Enterprise Edition Subscription Agreement — not by AlmightyCS.
For anything relating specifically to the Odoo Enterprise Edition software itself — its license terms, Odoo S.A.'s own support commitments, or its pricing — Odoo S.A.'s terms at the link below govern and take precedence over these Terms. AlmightyCS's Terms govern the implementation, customization and support services we provide around it.
Odoo Enterprise Edition Subscription Agreement12. General Provisions
- Governing law & jurisdiction. These Terms are governed by the laws of India. Courts at Gandhinagar, Gujarat have exclusive jurisdiction over any dispute, subject to both parties first making a good-faith effort to resolve the matter directly.
- Assignment. Neither party may assign these Terms without the other's written consent, except to a successor of substantially all of its business.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect.
- Entire agreement. These Terms, together with your quotation, Statement of Work or any signed agreement, form the entire agreement between the parties for that engagement and supersede prior discussions on the same subject.
- Notices. Formal notices should be sent in writing to the email or postal address on your quotation, or to info@almightycs.com.
